AGENT - X TERMS OF SERVICE

1. Introduction

These Terms of Service ("TOS") govern all access, registration, and use of the software as a service (SaaS) "Agent-X" provided by Agent-X LLC (business registration number: 0318939754, headquarters: A1-28.08, 29th floor, Tower A1, Vinhomes Golden River, No. 02 Ton Duc Thang, Ben Nghe Ward, District 1, Ho Chi Minh City, Vietnam, referred to as "Agent-X LLC" or "We") in the Socialist Republic of Vietnam and worldwide. By accessing or creating an account, Customers ("Users" or "You") implicitly agree to be bound by these TOS and all related policies referenced herein.

2. Definitions

• Service: The collection of SaaS features, APIs, dashboards, documentation, script templates, and third-party integrations provided by Agent-X LLC.
• User Content: Data, text, media files, personal information, or any materials you upload, send, transmit, or display through the Service.
• Effective Date: The date you first create an account or use the Service, whichever comes first.

3. Acceptance of Terms

By (i) clicking the "Sign Up"/"Login" button or (ii) using the Service in any form, you confirm that you have read, understood, and agree to the entire TOS. If you represent an organization, you commit to having sufficient authority to enter into this agreement; all references to "You" also include that organization.

4. Registration & Account

1. Accurate Information: You must provide complete, legal, and up-to-date information; maintain accuracy throughout the use period.
2. Login Information Security: You are responsible for securing your username, password, API keys, and all activities under your account. Agent-X LLC is not liable for any losses arising from your failure to comply with security obligations.
3. Enterprise Account: In cases of multiple internal users, the administrator account is responsible for permissions and access control.

5. Scope of Service

1. Agent-X LLC provides the Service "as-is" on a cloud platform, enabling AI chatbot deployment, conversation management, channel integration (Web, Facebook, Zalo, etc.), and order processing.
2. Agent-X LLC may update, upgrade, suspend, or discontinue any features for technical, security, legal compliance, or commercial reasons; we will make reasonable efforts to provide advance notice.

6. User Rights & Obligations

• Legal Compliance: Vietnam and the country/region where you operate; do not use the Service for illegal purposes, fraud, privacy violations, or infringement of third-party intellectual property.
• No System Interference: Prohibited: unauthorized access, reverse engineering, vulnerability exploitation, network attacks, or actions that overload Agent-X infrastructure.
• Data Backup: You are responsible for backing up User Content; Agent-X LLC provides data export tools but does not guarantee permanent storage.

7. Service Fees & Payment

1. Pricing structure, usage limits, and payment cycles are publicly posted on Agent-X's website and may be adjusted from time to time.
2. Displayed fees do not include VAT, currency conversion fees, or bank charges; you are responsible for full and timely payment.
3. In case of late payment, Agent-X LLC has the right to suspend or terminate the Service after sending a reminder notice and giving you a minimum of 7 days to remedy.

8. Intellectual Property Rights

1. Agent-X, logo, interface, source code, algorithms, and all content developed by Agent-X LLC are the exclusive property of Agent-X LLC or its licensors.
2. You are granted a non-exclusive, non-transferable, non-sublicensable license to access and use within permitted limits; any copying, modification, or distribution beyond the permitted scope requires written consent from Agent-X LLC.
3. You warrant that you have full rights to User Content and grant Agent-X LLC a worldwide, royalty-free, non-exclusive license to store, backup, process, analyze, and display such Content for the purpose of operating the Service.

9. Security & Personal Data Protection

1. Agent-X LLC complies with the Cybersecurity Law 2018, Decree 13/2023/ND-CP on Personal Data Protection and industry security standards (ISO 27001, etc.).
2. We only collect and process personal data according to our separately published Privacy Policy; you should read it carefully to understand your rights and choices.
3. When transferring data outside Vietnam's territory, Agent-X LLC ensures compliance with impact assessment and disclosure requirements under current law.

10. Warranty Disclaimer

The Service is provided "as-is" and "as available". Agent-X LLC does not absolutely guarantee that the Service will (i) be error-free, (ii) operate continuously, (iii) meet all specific expectations. To the extent permitted by law, Agent-X LLC disclaims all implied warranties of merchantability, fitness for a particular purpose, or non-infringement.

11. Limitation of Liability

In all cases, Agent-X LLC's total liability for all claims arising from the TOS is limited to the total fees you have paid to Agent-X LLC in the 12 consecutive months prior to the event; Agent-X LLC is not liable for any indirect, consequential, data loss, profit loss, or reputation damage.

12. Suspension & Termination

1. You may terminate use at any time; paid fees are non-refundable, unless required by law.
2. Agent-X LLC has the right to suspend or terminate immediately if you seriously violate the TOS, violate the law, or pose a security risk.
3. After termination, sections 8, 9, 10, 11, and 14 remain in effect.

13. Modification of Terms

Agent-X LLC may update the TOS to reflect legal changes or service upgrades. The new version will be notified at least 3 days before taking effect. Your continued use of the Service after that time is understood as acceptance of the changes.

14. Applicable Law & Dispute Resolution

1. These TOS are governed by Vietnamese law.
2. All disputes shall first be resolved through good faith negotiation within 30 days. If no agreement is reached, the dispute shall be submitted to the Vietnam International Arbitration Centre (VIAC) in Ho Chi Minh City, and the arbitral tribunal's decision shall be final and binding on both parties.
